TOM McCLOSKEY | CHAIRMAN AND CEO

Tom McCloskey is the founder of Cornerstone Holdings. Mr. McCloskey has served as general partner in over 50 partnerships and has been involved in a variety of diverse business activities. He is Chairman and CEO of Cornerstone Holdings, LLC and McCloskey and Company.

Through his affiliation with Palmer Communications, Palmer Wireless (N PWIR) and now Cornerstone Holdings, he has been involved with high-level strategic development of technology companies and wireless communications markets for the past twenty years.

Mr. McCloskey served as chairman of Horizon Organic Holdings (NASDAQ:HCOW), the world's largest organic dairy company from 1993 to 2004, was a director of Summit Energy Corporation, based in Louisville, Kentucky, and is currently Director of Magna Energy Services.

Mr. McCloskey is the founder of the McCloskey Business Plan Competition at University of Notre Dame's Mendoza College of Business. He was formerly vice president of the board of trustees of the Thacher School of Ojai, CA. Additionally, Mr. McCloskey volunteers with the Leadership Kaua'i Board Directors, the Advisory Council of University of Notre Dame's Mendoza College of Business, and the Gigot Center for Entrepreneurial Studies, where he has lectured on business ethics.

Mr. McCloskey has a BA from the University of Notre Dame and a MBA from the Wharton School of the University of Pennsylvania. He lives in Aspen, San Francisco and Kauai with his wife of 38 years. They have four children.

NEVILLE VERE NICOLL | PRESIDENT

Mr. Vere Nicoll joined Cornerstone in 1998 where he is responsible for the overall strategy as well as the groups direct investments. He is also a founding partner and Managing Director of BV-Cornerstone Ventures, LP, a later stage venture capital fund started by Cornerstone. Mr. Vere Nicoll has been involved in the venture capital and private equity business for 24 years, both as an investor and a CEO of venture-backed and public companies.

Throughout the past 10 years, Mr. Vere Nicoll has structured all of the private investments made by Cornerstone. Additionally, he has served on over 10 portfolio company boards where he has nurtured each company's growth, negotiated most acquisitions and been instrumental in numerous sales and recapitalizations.

Mr. Vere Nicoll worked closely with the management of Summit Energy to negotiate a European acquisition and choose appropriate Investment Bankers to recap the company. Currently, he is the CEO of Magna Energy Services, LLC where he has orchestrated the acquisition of six companies and consolidated them into one entity.

Prior to joining Cornerstone, Mr. Vere Nicoll was President and CEO of Kryptonics, a leading manufacturer of sporting goods products from 1995 to 1998. From 1991 to 1995, Mr. Vere Nicoll was President and CEO of Soricon Corporation, a public company that manufactured document readers. From 1983 to 1991, Mr. Vere Nicoll was a founder and partner of the UK based Beaverbrook Group, a venture capital and private equity company that invested in healthcare companies in the United States and Europe.

Mr. Vere Nicoll has a degree from the European Business School in Paris.

CLARK LIPSCOMB | PRESIDENT, REAL ESTATE

Photo - Tom McCloskeyMr. Lipscomb joined Cornerstone in 1996. Mr. Lipscomb initially started with the company as an analyst and after several promotions was named President of the Real Estate Division in 2002.

Mr. Lipscomb plays an integral role in every real estate project developed by Cornerstone. He is involved in all aspects of real estate development including: analysis, acquisition, planning, development, construction, management, and disposition of complex real estate projects. He has a history of developing high-quality residential, retail, office, industrial, and hotel products which generate a higher than average return to investors.

Mr. Lipscomb has a BBA from the University of Texas at Austin.

JOHN ORD | CHIEF FINANCIAL OFFICER

Mr. Ord joined Cornerstone in 1998. He currently serves as the CFO of Cornerstone Holdings, LLC and of McCloskey enterprises. He is responsible for the reporting, taxes and financial analysis of Cornerstone's diverse asset portfolio.

Mr. Ord is also co-founder and Chief Financial Officer of BV-Cornerstone Ventures. He is the acting CFO of several companies within BV-Cornerstone Ventures' investment portfolio. Mr. Ord has over 20 years experience in the financial management, strategic development and acquisition activities of publicly and privately held companies.

Prior to joining Cornerstone, Mr. Ord joined Mr. Vere Nicoll as the CFO of Kryptonics from February 1997 to December 1998. From February 1981 to February 1997, Mr. Ord was Vice President of Finance for Rustco Products, a $60 million food processor in Denver.

Mr. Ord has a BS in Economics and Business Administration from Colorado State University, a Masters of Technology Management (MoTM) degree from the University of Denver and practiced as a licensed CPA in the State of Colorado.

CHRIS ROCKERS | PRINCIPAL

Mr. Rockers joined Cornerstone in 2005 and works in the sourcing, tracking, and structuring of Cornerstone's private equity and venture capital investments. Mr. Rockers is actively involved in all direct investment portfolio companies which includes a position on the Magna Energy Services, LLC board of directors. Mr. Rockers had over 10 years experience in finance prior to joining Cornerstone.

Most recently, Mr. Rockers worked in the Corporate Finance and Restructuring Group at FTI Consulting. While with FTI, Mr. Rockers worked on capital restructurings, business plan and financial model analysis, and litigation support. Prior to FTI, Mr. Rockers spent 5 years at Falkenberg Capital, a boutique telecommunications investment bank. At Falkenberg, Mr. Rockers was responsible for all aspects of transaction execution and worked on over $1 billion in closed transactions.

Mr. Rockers has a BS in Finance from Colorado State University, an MBA from the University of Denver, and is a Chartered Financial Analyst. He is active in multiple industry and community organizations, which includes his current responsibilities as a Director on the Board of the CFA Society of Colorado.

RYAN WILLIAMS | ASSOCIATE

Mr. Williams joined Cornerstone in 2007 and works in the Direct Investments group screening, providing due diligence and monitoring Cornerstone's private equity investments. Mr. Williams joined Cornerstone with ten years of experience in both corporate finance and financial consulting.

Most recently, Mr. Williams was a Sr. Consultant in the Corporate Finance group at FTI Consulting where he served as an adviser to secured and unsecured lenders during the corporate restructuring process, both prior to and during Chapter 11 activities. He has worked across industries including telecommunications, transportation, mining and manufacturing. Prior to FTI Consulting, Mr. Williams worked in Finance at Qwest Communication where he was responsible for the financial analysis of corporate procurement activities for both network and operations.

Mr. Williams has a BS in Business Administration from Colorado State University and an MS in Finance from the University of Colorado at Denver. He is a Chartered Financial Analyst and a member of the CFA Society of Colorado.
